1. Definitions and Introduction
1.1 In this Agreement, the words and phrases used shall have the following definitions:
“Competition” implies any contest, competition or promotion on our social media page or website;
“Participants” shall include only page followers who enter the competition;
“Sun City” pertains to Sun City Motors LLC of Sheikh Zayed Road, 4th Interchange,Dubai, United Arab Emirates;
“Winner” means the person chosen by sun City Motors via the raffle draw;
“Employee” means staff in Sun City Motors or any of its partner companies;
“Prize” means any gift awarded in a competition;
“Specific Rules” implies the specific rules entry instructions and other specific details or terms correlating with the specific competition or prize published in this page or any other media featuring the competition;
“Terms” implies these Competition Terms and Conditions together with any Specific Rules;
“we”, “us” and “our” pertains to Sun City Motors;
“you” means a Participant in or winner of a competition.
1.2 All of our Competitions will be subject to (i) these Competition Terms and Conditions and (ii) the Specific Rules, and you will be bound by these Terms when you participate in any Competition or accept any Prize. If these Terms and Conditions differ or conflict with any Specific Rules, then the latter will prevail.
1.3 We may add to, amend or vary these Competition Terms and Conditions from time to time, at our own discretion.
1.4 You agree to cooperate with and abide by all reasonable requests made by us in connection with any Competition.
2. Eligibility and Entry Criteria
2.1 To be able to enter into the Competition, you will be required to enter as an individual using your legal name and to make a single entry per Competition, unless the Specific Rules enable you to make a number of entries. You will only be eligible to participate in the competition if you are a resident of the UAE.
2.2 The Specific Rules will stipulate any age restrictions relating to the Competition. Unless otherwise specified in the aforementioned, you may not be permitted to take part in the Competition if you are an employee, or family member of an employee, of (i) Sun City Motors or any of its partner companies or (ii) any Competition sponsor or Prize giver or if you are directly or indirectly connected with the Competition.
2.3 Multiple, bulk, automated, machine assisted, third party, syndicate or other group entries will not be accepted. We shall disqualify any entries which, in our reasonable opinion, appear to have utilized any of these entry methods, including a number of entries from the same telephone number or IP address, unless the Specific Rules specify that a number of entries are allowed.
2.4 We may require you to provide us with proof of your eligibility to participate in the Competition and we reserve the right, in our sole discretion, to decide whether or not eligibility criteria have been met. Breach of any of the criteria contained in this Clause 2 may render you disqualified from the Competition and/or the withdrawal of the Prize.
3. Mechanics
3.1 Participants will only be deemed as valid to enter the Competition if they “liked” Sun City Motors’ Facebook page and register on the form.
3.2 There are five answers to the “Spot the Difference” Competition, and those who get 2 to 3 of them correctly by clicking on the differences on the picture will automatically qualify for the raffle draw through which the winner will be determined by Sun City Motors’ management. 3.3 Only 5 tries (5 clicks) are allowed per game.
4. Prizes
4.1 If you win the Competition, we will contact you within 30 days of the end of the Competition via Facebook or phone, and you will then have 30 days within which to claim the Prize. In the event that you fail to claim the Prize within the specified time-limit, or fail to conform to any other instructions or time-limits notified to you, your right to the Prize will be forfeited and your claim will be deemed invalid.
4.2 We reserve the right, at our discretion, to request certain proof in relation to your Competition entry including proof of identity, age and address.
4.3 We may conduct an interview with you either by telephone or in person and we may record the interview.
4.4 All Prizes are non-transferable and may not be given, assigned or sold to another person.
4.5 Prizes cannot be strictly exchanged for cash or any other alternatives.
4.6 We will not offer a Prize which, for any reason, the law will prohibit you from purchasing, using or owning.
4.7 No fee is payable to you concerning your involvement in the Competition.
5. Confidentiality and Publicity
5.1 You are in full agreement to keep confidential any information, which you know or reasonably ought to know, is confidential and relates to us, our business or the Competition or Prize.
5.2 You are in full agreement to take part, at our request, in publicity (including interviews) and you agree that we own all Intellectual Property Rights in, and may use at our discretion, such publicity/interviews. We may also refer to your involvement with the Competition and/or the Prize in all publicity, marketing and materials.
6. Intellectual Property Rights
6.1 By participating in the Competition or submitting any digital materials related to any Competition or Prize (the “Products”) you: (i) grant us a worldwide, perpetual, royalty free license in the Intellectual Property Rights in the Products or Competition entry, (ii) renounce any moral rights and like rights you have related to the Products or Competition entry so that we shall be authorized to use the Products or Competition entry in any and all media at no cost to us and (iii) warrant to us that the Products or Competition entry:
6.1.1 are personal and related to you;
6.1.2 are owned and controlled by you and that you have the right and authority to grant the rights set out in these Terms;
6.1.3 will not infringe the Intellectual Property Rights, privacy or any other rights of any third party;
6.1.4 will not contain anything which is untrue, defamatory, obscene, harassing or threatening;
6.1.5 do not contravene any applicable law or regulation (including any laws concerning anti-discrimination or false advertising);
6.1.6 do not contain any computer programming routines that are aimed at damaging, detrimentally interfering with, surreptitiously intercepting or expropriating any system, data or personal information;
6.1.7 are free from any encumbrances such that we may use the Products according to and in the manner set out in these Terms.
6.2 To avoid doubts and confusion, all rights relating to the Competition (including the name, title and format of the Competition) will be granted exclusively to Sun City Motors for our own use (in our discretion).
6.3 Unless otherwise stated, Competition entries will not be returned to you.
7. Disqualification
7.1 We reserve the right (without accepting any liability or giving you any compensation) to disqualify you from the Competition and/or withhold or withdraw a Prize (or seek compensation from you therefore) if (in our opinion, which shall be final):
7.1.2 you are in breach of the Terms or any of your obligations, representations and/or warranties under this Agreement;
7.1.3 you have committed or undertaken any fraud, misconduct or similar action including providing any false or incorrect information;
7.2 In the event of your disqualification from the Competition/Prize:
7.2.1 we reserve the right to choose another Participant to take part in the Competition/receive the Prize.
8. Exclusion of Liability/Indemnity
8.1 Nothing in the Terms excludes our liability for:
8.1.1 personal injury or demise arising out of our negligence or the negligence of our employees;
8.1.2 deceit or deceitful misinterpretation by us or our employees; or
8.1.3 any other liability that cannot be excluded or restricted by law.
8.1.4 Sun City Motors excludes all liability whatsoever for any expenses, costs, losses, liabilities, damages, injury or disappointment (other than any costs and expenses particularly for the Competition and/or Prize), including any loss of business, profit, revenues, contracts, or expected savings and whether special, direct, indirect or consequential suffered by you caused by the Competition and/or Prize.
8.2 Sun City Motors will have no liability whatsoever:
8.2.1 concerning Competitions operated by third parties and featured on our website. The relevant third party will be responsible for the completion of the Competition. We do not accept responsibility for the acts or omissions of such third parties;
8.2.2 when it comes to telephone, postal, online entries, or text messages delayed or not received by us as a result of technical faults, network incompatibility or for other reason;
8.2.3 for any person not being able to take part in a Competition for any reason, including error, system failure, the application through which online entries are made being down, system hacks or personal computer issues;
8.2.4 for any losses you suffer in submitting any data and/or information to our website or social media page;
8.2.5 for any errors in the source material used by our question compilers;
8.3 Our decision is final and conclusive in all circumstances and no agreement will be entered into.
8.3.1 You are in agreement to indemnify us against all losses, costs, damages, expenses and liabilities suffered by us arising as a result of a breach by you of your obligations under the Terms or in any way in relation to your failure to follow our reasonable instructions regarding your participation in the Competition or taking of any Prize.
9. Force Majeure
We shall not be liable to carry out any of our obligations under the Competition or in relation to the Prizes where we are unable to do so as a result of unexpected circumstances or circumstances beyond our reasonable control and while we may (but still not be obliged to) provide an alternative Prize of equal value, we shall not be liable to compensate you in such circumstances.
